Terms of Service

By accessing or using MeadowFox services, including Simon, users agree to these Terms of Service.

If you do not agree, you must not use MeadowFox services.

MeadowFox provides software and AI-powered intelligence tools for educational institutions, including:

• operational analysis
• anomaly detection
• compliance support
• reporting
• risk identification

Simon is an assistive intelligence system intended to support operational decision-making.

Customers are responsible for:

• ensuring uploaded data is lawful to share
• maintaining account security
• verifying critical outputs
• ensuring human oversight of operational decisions

Customers remain responsible for final operational and compliance decisions.

Fees are agreed via contract, proposal, invoice, or order form.

Unless otherwise agreed:

• invoices are payable within 30 days
• overdue payments may result in service suspension

All fees are exclusive of VAT unless stated otherwise.

All fees paid to MeadowFox are non-refundable once any of the following has occurred:

• onboarding has commenced
• implementation has commenced
• platform access has been granted
• customer data has been processed

All intellectual property relating to MeadowFox, including:

• software
• branding
• Simon
• reports
• workflows
• platform design

remains the property of MeadowFox Ltd unless otherwise agreed.

Customer data remains customer-owned.

Customers must not use MeadowFox for:

• unlawful activity
• abusive or malicious activity
• security testing without permission
• reverse engineering
• unauthorised access attempts

We aim to provide reliable service but do not guarantee uninterrupted availability.

Services may occasionally be unavailable due to:

• maintenance
• upgrades
• outages
• third-party failures

Simon provides intelligence and recommendations based on uploaded data and available context.

Simon may occasionally produce incomplete, inaccurate, or imperfect outputs.

Customers must not rely solely on Simon for critical decisions without human review.

To the fullest extent permitted by law, MeadowFox shall not be liable for:

• indirect loss
• consequential loss
• lost profits
• reputational damage
• regulatory penalties arising from customer decisions

Customer staff remain responsible for final operational decisions.

Total liability shall not exceed fees paid by the customer in the preceding 12 months.

Either party may terminate services in accordance with agreed contractual notice periods.

MeadowFox may suspend or terminate services for:

• non-payment
• misuse
• security concerns
• material breach of terms

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
